1. AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and You Map Inc., doing business as YouMap (“YouMap,” “we,” “us,” or “our”), concerning your access to and use of the https://www.youmap.com website as well as any other media form, media channel, mobile website or mobile application, or any associated platform, products, services, or features operated or provided by Youmap (collectively, the “Site”). We are registered in Delaware, United States and have our registered office at 16192 Coastal Highway, Lewes, DE 19958.

By accessing or using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Use, and that you accept all obligations arising under applicable laws. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.

The Site is intended for users who are at least 16 years old and possess full legal capacity under applicable law. Persons under the age of 16 are not permitted to use or register for the Site.

We may amend these Terms of Use only in the event of a valid legal, organizational, or technological reason, including but not limited to: changes in applicable law, issuance of regulatory decisions, changes in the scope or nature of services provided via the Site, implementation of new functionalities or security improvements, or the need to correct obvious errors or clarify ambiguities.

Any such modification shall be communicated to you in advance. If you have a registered account, we will notify you by email at least 14 days before the proposed changes take effect. Information about the planned amendment and the effective date will also be made available through the Site.

If you do not accept the proposed changes, you have the right to terminate the agreement by discontinuing use of the Site and, in the case of a registered account, by deleting it before the changes take effect. Continued use of the Site after the effective date of the new Terms shall be deemed your acceptance of the updated provisions.

Use of the Website requires a device with Internet access, a current version of a web browser (e.g. Chrome, Firefox, Safari, Edge) with JavaScript and cookies enabled, and a minimum screen resolution of 1024×768 pixels. Use of the mobile application requires a device with Android version at least 8.0 or iOS version at least 13.0, an Internet connection and sufficient free space for installation. Some functions may not work properly if the above requirements are not met.

The Site is provided “as is” and “as available,” without any warranties, express or implied. To the maximum extent permitted by applicable law, YouMap shall not be liable for any damages arising from your access to or use of the Site. Nothing in these Terms limits rights that cannot be excluded under applicable mandatory law.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website design, layout, audio, video, text, photographs, and graphics contained on the Site (collectively, the “Content”), as well as the trademarks, service marks, trade names, business identifiers, and logos featured therein (collectively, the “Marks”), are owned or lawfully licensed to us and are protected under applicable intellectual property laws, including but not limited to copyright law, trademark law, unfair competition regulations, and other international conventions.

All economic rights to the Content and the Marks, including the rights to use, reproduce, fix, modify, distribute, publicly perform, display, transmit, or make them available in such a way that anyone can access them at a place and time of their choosing, including through telecommunication networks, are reserved unless expressly stated otherwise.

The Content and the Marks are made available on the Site “AS IS” for informational purposes only. Unless explicitly permitted in these Terms of Use or by written authorization, no part of the Site, Content, or Marks may be copied, reproduced, adapted, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, modified, or otherwise used – in whole or in part – for commercial or professional purposes without our prior express written consent.

Provided that you are eligible to use the Site, you are granted a non-exclusive, non-transferable, and revocable license to access and use the Site, and to download or print a single copy of any accessible portion of the Content solely for your personal, private, and non-commercial use, in a manner that does not violate the proprietary rights of YouMap or third parties. This license does not grant any rights to sublicense, distribute, or further exploit the materials.

3. USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete to the best of your knowledge; (2) you will maintain the accuracy of such information and update it without undue delay when necessary; (3) you have full legal capacity under the applicable laws of your place of residence and you agree to comply with these Terms of Use; (4) you are not a minor under the laws of your country of residence and, if you are using the Site from within the European Union, you are at least 16 years old; (5) you will not access the Site through unauthorized automated or non-human means, including but not limited to bots, scripts, or similar technologies, unless such access is expressly permitted by us; (6) you will not use the Site for any unlawful or unauthorized purpose; and (7) your use of the Site will comply with all applicable national and international laws and regulations, including but not limited to consumer protection and data privacy laws.

If you provide any information that is knowingly untrue, inaccurate, outdated, or incomplete, or if we have reasonable grounds to suspect such, we reserve the right to suspend or terminate your account and to deny or restrict your current or future access to the Site or any part thereof, subject to applicable legal obligations and user rights.

4. USER REGISTRATION

You may be required to register an account in order to access certain features of the Site. You agree to keep your login credentials, including your password, confidential and secure. You acknowledge that you are solely responsible for all activities that occur under your account, unless such activity occurs due to our fault or negligence or results from unauthorized access beyond your reasonable control.

We reserve the right to remove, reclaim, or modify a username you have selected if it is determined that the username violates the rights of third parties, applicable law, good customs, or if it is otherwise objectively inappropriate, offensive, misleading, or unlawful. Any such decision will be made in accordance with applicable laws and subject to your right to object or appeal such a decision through the procedures provided under applicable consumer protection regulations.

5. PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which it is made available by us, and only to the extent permitted under these Terms and applicable law. Use of the Site for commercial purposes is prohibited unless expressly authorized by us in writing. As a user, you agree not to engage in any activities that could harm, disrupt, or misuse the Site or its users, including but not limited to: * collecting or extracting data, content, or user information in an automated or systematic manner without our consent; * using bots, scripts, scrapers, or similar tools to interact with the Site, except for standard search engine functions; * uploading malware, spyware, or any code or content intended to damage, monitor, or interfere with the Site or its users; * attempting to bypass, disable, or tamper with security features or access controls; * impersonating another user or misrepresenting your identity; * harassing, intimidating, or threatening our team members or other users; * using the Site to send spam, create fake accounts, or conduct misleading or fraudulent activity; * modifying, copying, reverse engineering, or otherwise exploiting any part of the Site’s software or infrastructure unless expressly allowed by law; * framing, deep-linking, or otherwise reproducing the Site or its content without authorization; * using the Site in a way that violates applicable laws, infringes intellectual property rights, or breaches these Terms. We reserve the right to take appropriate action, including suspension or termination of your access, in the event of any violation.

6. USER GENERATED CONTRIBUTIONS

The Site may allow you to contribute or upload content, including but not limited to text, images, videos, comments, or other materials (collectively, “Contributions”), which may be visible to other users on the Site, on affiliated platforms, and on third-party channels. By submitting any Contributions, you represent and warrant that you are the sole creator and owner of all proprietary rights in the Contributions, or that you have obtained all necessary rights, consents, and authorizations from third parties to submit and transfer such rights to us. You further warrant that your Contributions do not infringe on any intellectual property, privacy, or other rights of third parties and comply with all applicable laws. Your Contributions must not contain any unlawful, abusive, defamatory, discriminatory, violent, obscene, harassing, or otherwise objectionable material, nor material harmful to minors or public order. They also must not constitute unsolicited advertising, spam, or any form of commercial or deceptive practice. In particular, you agree not to submit or share any Contributions that: * constitute or promote illegal content, including incitement to violence, terrorism, hate speech, or discrimination on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or nationality; * depict or distribute sexually explicit, pornographic, or sexually suggestive material, including material involving minors or non-consensual acts; * promote or depict self-harm, suicide, or physical violence; * involve the unlawful sale or promotion of goods or services, including weapons, drugs, or counterfeit products; * contain false or misleading information likely to cause harm, confusion, or deception; * infringe the intellectual property, image, or privacy rights of others; * are intended to defraud, harass, or otherwise harm other users or third parties; * constitute or promote unsolicited advertising, spamming, pyramid schemes, or any other form of unauthorized commercial solicitation.

By submitting Contributions, you irrevocably and free of charge transfer and assign to YouMap all economic rights to the Contributions worldwide, without limitation in time or scope, including the rights to reproduce, distribute, adapt, publicly display and perform, digitally transmit, make available on demand, and otherwise exploit the Contributions in any media now known or later developed. You waive, to the fullest extent permitted by law, all moral rights in the Contributions, including but not limited to the right to be identified as the author and to object to derogatory treatment of the Contributions. You warrant that no third party’s rights are violated by this transfer and agree to indemnify and hold YouMap harmless from any damages, claims, or losses arising from any breach of these warranties.

YouMap reserves the right to remove, edit, or refuse any Contributions that may violate these Terms or applicable law, at its sole discretion and without prior notice. Content moderation may involve automated tools and human review and is carried out in accordance with applicable regulations, including the European Union’s Digital Services Act (“DSA”). Users will be notified of moderation decisions affecting their content, where required by law.

The Site provides an electronic mechanism for reporting illegal or harmful content. All reports are reviewed diligently, and appropriate actions are taken in line with the DSA. You acknowledge and agree that YouMap has no obligation to monitor Contributions proactively, but may do so in its discretion.

YouMap provides transparent information about its moderation policies, internal complaint-handling system, and user rights under the DSA. Your use of the Site in violation of these provisions may result in suspension or termination of your access and any associated accounts. You retain ownership of your Contributions and all associated intellectual property rights, except for the rights expressly transferred to YouMap herein. However, you are solely responsible for the content you submit and agree to indemnify and hold YouMap harmless from any claims or damages related to your Contributions.

7. PROFILING AND PERSONALIZATION

YouMap may process user data to provide personalized content, recommendations, and services, including through limited profiling within the meaning of the General Data Protection Regulation (GDPR). Such profiling may be used, for example, to tailor map content, suggested locations, or application features to user preferences.

Personalization and profiling constitute additional functionalities that users may voluntarily activate or deactivate at any time through their account settings. The absence of activation of such functionalities does not affect access to or the performance of the core services. Profiling does not produce any decisions that have legal effects concerning the user or similarly significantly affect them.

8. MOBILE APPLICATION LICENSE

Use License

If you access our Services via a mobile application, we grant you a non-exclusive, non-transferable, revocable and limited license to install and use the application on your personal mobile device solely for the purpose of using the Services in accordance with these Terms and applicable law.

You are prohibited from: * decompiling, reverse engineering, disassembling, or attempting to derive the source code of the application, except to the extent expressly permitted by mandatory provisions of applicable law; * modifying, adapting, translating, or creating any derivative works based on the application; * using the application in a manner contrary to applicable laws or third-party rights; * removing or obscuring any proprietary rights notices, including copyright or trademark notices; * using the application for any commercial or revenue-generating purposes without our express prior written consent; * making the application available in a manner enabling simultaneous use by multiple users or devices; * using the application to create a competing product or service; * using the application for sending unsolicited communications or automated queries; * using any of our proprietary information or interfaces for the development or distribution of applications, accessories, or other products.

We reserve the right to suspend or revoke the license if the application is used in breach of these Terms or applicable law.

App Distribution Platforms

The application may be downloaded from platforms such as Apple App Store or Google Play. When doing so, you agree to comply with the usage terms of the relevant platform provider. Any obligations regarding support or maintenance of the application lie solely with us, unless otherwise stipulated by applicable mandatory provisions of law.

If the application fails to operate as intended, any claims regarding defects may be addressed in accordance with applicable consumer protection laws. Your contractual relationship with Apple Inc., Google LLC, or other providers of mobile app marketplaces is governed independently by the relevant terms of use of those platforms.

9. SOCIAL MEDIA INTEGRATION

As part of the functionality of the Services, you may link your account with third-party online services (hereinafter: “Third-Party Accounts”) by: (1) providing login credentials for such Third-Party Accounts through our platform; or (2) granting us access to such accounts as permitted under their respective terms of use.

By linking your Third-Party Account, you represent and warrant that you are authorized to disclose such data and grant us access, without breaching any applicable agreement with the third-party provider and without imposing on us any obligation to pay fees or accept usage restrictions.

Depending on the settings of your Third-Party Accounts, selected content or personal data shared thereon may become accessible via our Services. Please note that if the provider of a Third-Party Account restricts or terminates access, certain functionalities may become unavailable. You may unlink your Third-Party Accounts at any time.

We bear no responsibility for the terms governing your use of Third-Party Accounts or for the practices of their providers. Your legal relationship with those providers is governed exclusively by your contractual arrangements with them.

10. THIRD-PARTY WEBSITES AND CONTENT

The Website may contain links to websites operated by third parties (“Third-Party Websites”) and may display or make available materials originating from third parties, including but not limited to articles, graphics, text, photographs, multimedia, applications, or other forms of content (“Third-Party Content”).

We do not verify, monitor, or evaluate the content, legality, accuracy, or appropriateness of such Third-Party Websites or Third-Party Content, and we shall not be held liable for any such materials made available via the Website. This includes, but is not limited to, any content, data protection practices, opinions, or policies contained therein.

The inclusion of Third-Party Websites or Third-Party Content does not imply our approval, endorsement, or recommendation. Access to and use of such external resources is at your sole risk. Once you leave the Website or interact with any third-party service, these Terms of Use shall no longer apply. You are advised to review the terms of use and privacy policies of any third-party websites or services you access or install.

Any transactions, including purchases made via Third-Party Websites, are conducted solely between you and the relevant third party. We shall not be responsible for any aspect of such transactions.

11. ADVERTISERS

We may allow advertisers to display advertisements, banners, or sponsored content in designated areas of the Website. If you are an advertiser, you bear full responsibility for any content you publish and for all goods or services offered through such advertisements.

By submitting advertising content, you warrant and represent that you possess all necessary rights and authorizations, including but not limited to intellectual property rights, image rights, and contractual permissions, to lawfully display such materials on the Website.

Our role is limited to providing technical space for the display of advertising. We do not act as a party to any transaction or relationship between the advertiser and users of the Website and do not assume any liability in connection therewith.

12. SITE MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Website for compliance with these Terms of Use; (2) take appropriate measures in the event of suspected violations of these Terms or applicable law, including restricting access or suspending user accounts; (3) limit or disable access to any user content that we deem to be excessive in size, unlawful, or otherwise burdensome to the operation of the Website; (4) remove or block any content or files at our sole discretion to protect our infrastructure or legal interests; and (5) otherwise manage the Website in a manner intended to ensure its proper technical operation, legal compliance, and protection of our rights. These rights are exercised solely at our discretion and do not constitute an obligation to act in any specific way unless required by applicable law.

13. PRIVACY POLICY

We process personal data in accordance with applicable provisions, in particular the Regulation (EU) 2016/679 of the European Parliament and of the Council (General Data Protection Regulation – GDPR).

Details regarding the scope, purposes, and legal grounds for the processing of personal data, as well as the rights of data subjects, are set forth in our Privacy Policy, available on the Website. By using the Website, you acknowledge that you have read and accepted the provisions of the Privacy Policy, which forms an integral part of these Terms of Use.

14. COPYRIGHT INFRINGEMENTS

We respect intellectual property rights. If you believe that any content available on or through the Website infringes upon any copyrights you own or control, please contact us at the address provided below and provide sufficient information to allow us to identify the material and assess the claim.

15. TERM AND TERMINATION

These Terms of Use shall remain binding and in effect for the entire duration of your use of the Website. At any time, you have the right to terminate your service agreement by deleting your account yourself, and a non-logged-in user by ceasing to use the services.

We may terminate your contract with immediate effect in the following cases: you violate material provisions of these terms and conditions, we have become aware that the name of your account or the content you post is untrue, contrary to the law, good morals, violates the personal rights of third parties or our legitimate interests, you have deleted the email address that was used to create your account. We reserve the right to refuse to provide services to you, including deletion of your account, if it has been established once again after we have deleted your account resulting from a violation of these terms and conditions.

16. GOVERNING LAW

These Terms of Use, as well as all legal relationships arising in connection with the use of the Website, shall be governed by and construed in accordance with the laws of the Republic of Poland. In matters not regulated herein, the applicable provisions of Polish law shall apply. However, if the User resides in another Member State of the European Union, the mandatory provisions of the law of that Member State shall apply to the extent that they provide greater protection to the User and are applicable pursuant to EU regulations on consumer protection and private international law.

17. CORRECTIONS

We make reasonable efforts to ensure that the information published on the Website is accurate and up to date. However, the Website may contain typographical errors, inaccuracies, or omissions, including with regard to descriptions, prices, or availability. We reserve the right to correct such errors, inaccuracies, or omissions and to update or modify the information on the Website at any time, without prior notice.

18. MISCELLANEOUS

These Terms of Use, together with the Privacy Policy and any other documents or rules posted on the Website, constitute the entire agreement between you and us concerning the use of the Website.

If any provision of these Terms is held to be unlawful, invalid, or unenforceable, such provision shall be deemed severable from the remaining provisions, which shall remain valid and enforceable.

No joint venture, partnership, employment, or agency relationship is created between you and us as a result of these Terms of Use or use of the Website. Our failure to enforce any provision of these Terms shall not be construed as a waiver of any rights.

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including force majeure.

19. COMPLAINTS

The User has the right to file a complaint regarding the operation of the Site, including malfunctions. Complaints can be submitted by mail, electronically to the indicated e-mail address or via the contact form. The complaint should describe the problem and provide contact information. Complaints will be considered within 14 days from the date of receipt of the notification, and a response will be sent to the User’s e-mail address.
